LICENSE AGREEMENT FOR THE TABLEAU INDUSTRY REPORTS AND STUDIES
You must agree to our Terms and Conditions THIS IS A LEGAL AGREEMENT BETWEEN YOU AND THE TABLEAU STATING THE TERMS THAT GOVERN YOUR USE OF THE TABLEAU INDUSTRY REPORTS AND STUDIES. THIS AGREEMENT, TOGETHER WITH THE TABLEAU’s TERMS AND CONDITIONS OF USE, CONSTITUTE THE “AGREEMENT” BETWEEN YOU AND THE TABLEAU. This Agreement provides a non-exclusive, non-assignable, non-transferable license for you (as a Named Individual User acting on Behalf of Your Company) to use the Reports and Studies for your internal business research, analysis and decision making purposes, subject to the restrictions below. This license does not grant you or your company any right to permit third parties (including, but not limited to clients, consultants, independent contractors, investors, partners, subsidiaries, affiliates or parent companies) to access or use the reports and Studies. The Tableau will retain all ownership rights, including but not limited to rights in intangibles and copyrights, in the Reports and Studies. You acknowledge that the Reports and Studies will contain proprietary information (including, but not limited to our non-public expertise and methodology), and you agree that such information will be held and maintained in confidence, will be used only for the purposes set forth above, and will not be disclosed to any person who is not listed as a Named Individual User or to any third party outside of your organization. You further agree you will use reasonable care to maintain the confidentiality of the Reports and Studies, provided that such care shall be at least as great as the measures you take to protect your own corporate confidential information. You further agree that you will only permit access to the Reports and Studies by the Named Individual User. Neither the Reports, nor the information contained therein, nor The Tableau name or any The Tableau trademark, may be used in whole or in part for advertising, for litigation or litigation support, for reference or inclusion in investor materials, or any other purposes without The Tableau’s prior permission in writing.
THE REPORTS AND STUDIES WILL REFLECT OUR BEST JUDGMENT BASED UPON THE INFORMATION AVAILABLE TO US. WE DISCLAIM ANY OTHER REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED OR STATUTORY, INCLUDING BUT NOT LIMITING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE.
If you have selected to receive the Reports and Studies, you will be delivered the licensed Report to your e-mail address, subject to the terms of this Agreement. You agree to accept and comply with all policies and terms of use (collectively, “Terms of Use”), which are hereby incorporated into this Agreement. The Tableau shall have no liability to you for any consequential, special or punitive damages. The Tableau’s aggregate liability to you for all matters and claims arising out of or relating to this Agreement or the Reports and Studies shall not exceed the amount that you paid to us under this Agreement in the 1-month period prior to the occurrence of the claim. This Agreement shall be interpreted according to the laws of the Province of Ontario, exclusive of its principles of conflicts of law. All lawsuits and other proceedings relating to this Agreement shall be brought in the courts in the Province of Ontario. If you are using a purchase order to acquire The Tableau’s Reports and Studies, both parties agree that the terms of these General Provisions shall govern, and any terms in the Purchase Order shall not apply. This Agreement represents the entire agreement between you and us related to the subject matter hereof and supersedes any prior or contemporaneous communications.
ALL THE TABLEAU PRODUCTS ARE FINAL SALE. NO REFUNDS, TRANSFERS OR RETURNS ARE ALLOWED.
